1. LATE CHARGES: If any payment due Seller, pursuant to this Agreement, shall not be made when due,
the Buyer agrees to pay Seller a late charge on the amount unpaid at two percent (2%) per month on the
amount(s) unpaid, or a rate of twenty-four (24%) per annum.
2. DEFAULT; ENFORCEMENT: In the event Buyer fails to comply with any provision of this Agreement,
and if Seller is required to enforce the terms of this Agreement, or collect any amounts due Seller, with or
without legal proceedings, then Buyer agrees to pay all costs of collection, including without limitation, all
court costs and reasonable attorney’s fees, whether incurred prior or subsequent to any final judgment,
order or decree. Buyer further agrees that in the event legal action is required to enforce any of the terms
of this Agreement, Seller’s claim and Buyer’s activities that gave rise to such claim shall be deemed to have
arisen and venue for Seller’s action shall be venued exclusively in Miamisburg, Montgomery County, Ohio.

AGREEMENT TO CREDIT TERMS must be signed by the owner of a sole proprietorship, an authorized
partner of a partnership, or the President, Vice-President, or other person authorized by the Board of
Directors of a corporation. The person signing warrants that he/she has the authority to bind the sole
proprietorship, partnership, or corporation as the case may be.
